PriceHead Agreement - Terms and rules

1. Definition of Terms. 1.1. Price File- Information supplied by The Advertiser describing the price, manufacturer name, manufacturer part number, and product description for one or more items. This information can also be entered via the merchant center. 1.2. Product Ad- Each product in the Price File constitutes one Product Ad. 1.3. Clickthrough- The action of a person clicking on a hyperlink displayed on a Web browser. 1.4. Vendor Clickthrough- A Clickthrough that results in sending a Web browser to either a URL specified by The Advertiser or to The Advertiser's Home Page(Also referenced as CPC). 2. PriceHead.com's consideration. 2.1. PriceHead.com shall accept from The Advertiser a Price File with no more than 2,000 items listed unless we are notified prior to import. 3. The Advertisers consideration. 3.1. The Advertiser agrees to pay PriceHead.com a minimum $0.25 per Vendor Clickthrough. The Advertiser must pay in advance toward Vendor Clickthroughs. PriceHead reserves a minimum amount of $50.00 to be paid toward Vendor Clickthroughs. Such payments are non- refundable. Depending on a merchants daily spend this minimum amount will be increased. In some cases we may contact a merchant who advertises in certain hot categories to let them know the minimum CPC on the account if different from $0.25 CPC. 3.2. Shall The Advertiser choose to pay PriceHead.com via credit card, The Advertiser agrees to any and all charges incurred on his account from PriceHead.com. 3.3. The Advertiser will be charged under the name "iBlade". 3.4. PriceHead.com reserves the right to reject any Product Ad. 3.5. Payment works as follows: On creating an account your account is billed $50 which goes toward Clickthroughs. When your funds are low they are automatically replenished. If your minimum daily spend is $25 then your minimum auto replenishment amount will be 3 times that so that your funds will last for 3 days. in this case it would be $75, if you spent for example $300 a day we would replenish you $900 to make sure you have a positive balance in your account. In special cases we will notify you to to let you know what your minimum replenishment will be. You will be able to view your billing records in your merchant center. 4. The Advertiser's responsibility 4.1. The Advertiser agrees to regularly update his/her's price feed so that the information provided to and published by PriceHead.com remains current and accurate. Should inaccuracies become known, PriceHead.com will notify the Advertiser of immediate suspension of the Advertiser's listings pending correction of the problem (s). 4.2. The Advertiser agrees to honor the prices provided to and published by PriceHead.com. 4.3. In the event that an advertised product is not currently held in The Advertiser's inventory, The Advertiser agrees to accept backorders at the prices provided to and published by PriceHead.com. 4.4. The Advertiser agrees not to sell any refurbished or gray market products without specification. If no specification is made, The Advertiser's account will be temporarily suspended until such actions are corrected. 4.5. The Advertiser agrees to promptly remove discontinued products from the price feed it provides to PriceHead.com. 4.6. The Advertiser agrees to promptly inform PriceHead.com when the information format of the price feed provided to PriceHead.com changes. 4.7. The advertiser may NOT put web addresses(URLs), email address, company information or any other information that would be defrauding the PriceHead system in their price feed. In such cases your account may be expelled from using PriceHead and its partner sites now and in the future. 5. Late payment provisions. 5.1. Payments not received by the due date specified by PriceHead.com are subject to interest charges of 1.5% per month. 5.2. PriceHead.com may retain a collection agency to collect delinquent accounts. Should The Advertiser's account become delinquent, The Advertiser agrees to pay all collection agency fees. 6. Terms for cancellation of this agreement. 6.1. PriceHead.com reserves the right to terminate an account at any time for non-payment or for fraud. The Advertiser may terminate this agreement upon 14-day notification via e-mail. If you would like to cancel sooner simply pause your account and contact us. Notification to PriceHead.com should be sent to webmaster@PriceHead.com. 7. Technical Others 7.1. In the event that the PriceHead website has technical difficulties, PriceHead is not liable for any down time your listings may experience. If your listing is down you will not incur any charges. 8. Additions 8.1. PriceHead may advertise your products and services on our affiliate sites. 8.2. By changing your CPC bid you are agreeing to the changed bid. 8.3. PriceHead.com is not liable for credits in the events of accidental bid changes or any received information mistakes on the part of the seller. 8.4. All credit cards are verified for fraud and your IP address is saved for security purposes. 8.5. Advertisers agree to be opted into our mediation program and to work with customers in the event of order problems. 8.6. If any of the above terms change we will notify you via email.
